Terms of Service
These Terms govern use of the RynIQ™ Platform, the Executive Decision Snapshot™, the Executive Decision Review™, the Executive Decision Brief™, and any consulting engagement delivered by Ryniqo OÜ. They form a binding agreement between Ryniqo OÜ and the entity or individual accepting them (“Customer”).

- Data submitted to the Platform by or on behalf of Customer.
- Fees
- Amounts payable by Customer under an Order.
Eligibility and acceptance
The Platform is offered to organisations and to individuals acting in a professional capacity. By creating an account or signing an Order, the accepting party warrants that they have authority to bind the Customer to these Terms and that the Customer is not subject to trade sanctions that would prohibit provision of the services.
Services
Ryniqo will provide (a) access to the Platform, (b) the Snapshot on a self-service basis, and (c) any Review, Brief, workshop or facilitation service described in the applicable Order. The nature, scope and deliverables of each engagement are set out in the Order.
Ryniqo may make routine changes to the Platform. Material degradation of documented functionality during a paid term will be notified in advance where reasonably possible.
Nature of the Snapshot
The Snapshot is a preliminary executive perspective derived from the responses provided. It is not a formal recommendation, an audit, a due diligence report, or a substitute for executive judgement. Only a Brief delivered after a Review constitutes a formal Ryniqo recommendation.
The Snapshot is provided “as is”. Sections 12 and 13 apply.
Human review
Every Brief is reviewed by a qualified Ryniqo reviewer before delivery. AI is used to structure, cluster and summarise inputs. AI does not autonomously produce a Brief and no automated decision producing legal or similarly significant effects is taken. Customer remains solely responsible for its investment, procurement and personnel decisions.
Acceptable use
Customer will not (a) submit unlawful, infringing, or harmful content, (b) submit special-category personal data or payment-card data, (c) attempt to reverse engineer, probe or interfere with the Platform other than under our Responsible Disclosure Policy, (d) resell access, or (e) use the Platform to train competing AI models.
Ryniqo may suspend access to prevent material harm, giving notice where practicable.
Intellectual property
Ryniqo retains all rights in the Platform, the methodology, the Decision Confidence™ scoring, and any template, framework, or model developed independently. Customer receives a non-exclusive, non-transferable licence to use deliverables for its internal business purposes.
Customer retains all rights in Customer Data and grants Ryniqo a limited licence to process it as necessary to deliver the services and improve the Platform in an aggregated, de-identified form. Customer Data is not used to train foundation models.
Confidentiality
Each party will protect the other's Confidential Information with at least the standard of care it applies to its own confidential information and no less than reasonable care. Confidential Information may be disclosed only to personnel and advisers with a need to know and under equivalent confidentiality obligations. Obligations survive termination for five years, and indefinitely for trade secrets.
Fees, invoicing and taxes
Fees are set out in the Order and payable within 30 days of invoice date unless the Order states otherwise. Fees are exclusive of VAT and other applicable taxes. Late amounts accrue interest at the rate set by the Estonian Law of Obligations Act, or 1.5% per month, whichever is lower.
The Snapshot is free of charge. Fees for Reviews, Briefs, workshops and facilitation are payable in advance unless otherwise agreed in writing.
Refunds
Fees for services already performed are non-refundable. Where Ryniqo materially fails to deliver a service described in an Order and does not cure within thirty (30) days of written notice, Customer's exclusive remedy is a pro-rata refund of prepaid Fees for the undelivered service. Statutory consumer rights, where applicable, are unaffected.
Term and termination
These Terms apply for the duration of any Order and any use of the Platform. Either party may terminate for material, uncured breach on thirty (30) days written notice, or immediately on insolvency of the other party.
On termination, access to the Platform ends, outstanding Fees become due, and Sections 7, 8, 12, 13, 14, 15 and 18 survive.
Disclaimers
Except as expressly set out in these Terms, the Platform and the deliverables are provided “as is” without warranty of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
Nothing in the Platform, the Snapshot, or the Brief constitutes legal advice, investment advice, tax advice or a guarantee of any commercial outcome. Customer remains responsible for its own analysis and decisions.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or exemplary damages, or for loss of profits, revenue, anticipated savings, business, goodwill, or data.
Each party's total aggregate liability arising out of or relating to these Terms in any twelve-month period is capped at the Fees paid or payable by Customer to Ryniqo under the applicable Order in that period, or, where no Fees have been paid, EUR 1,000.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, wilful misconduct, or any liability that cannot be limited by applicable law.
Indemnification
Customer will defend and indemnify Ryniqo against third-party claims arising from (a) Customer Data, (b) breach of Section 6 (Acceptable Use), or (c) use of a deliverable outside the scope of the licence in Section 7. Ryniqo will defend and indemnify Customer against third-party claims that the Platform, as provided and used in accordance with these Terms, infringes intellectual property rights, subject to Section 13.
Force majeure
Neither party is liable for failure to perform where performance is prevented by events beyond its reasonable control, including natural disaster, war, terrorism, civil disorder, labour dispute, cyber-attack on upstream infrastructure, government action, or failure of public utility.
Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Estonia, excluding its conflict-of-laws rules. The courts of Harju County (Harju Maakohus) have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, without prejudice to mandatory consumer forum rules.
Changes
We may update these Terms. Material changes will be notified at least 30 days in advance to active customers. Continued use after the effective date constitutes acceptance.
General
- Entire agreement. These Terms, together with any Order, the DPA and the Acceptable Use Policy, constitute the entire agreement between the parties.
- Assignment. Neither party may assign these Terms without the other's written consent, except to a successor by way of merger or sale of substantially all assets.
- Severability. If any provision is held unenforceable, the remainder continues in effect.
- Notices. Notices to Ryniqo: hello@ryniqo.com. Notices to Customer: the last address on file.
- No waiver. Failure to enforce a provision is not a waiver.
